On the evening of November 16, Maoshuo Power (002660) announced that the existing shareholders of the company's subsidiary Shenzhen Maoshuo Electric Co., Ltd. (hereinafter referred to as “Maoshuo Electricâ€) intend to introduce Shenzhen Qianhai Nanfang Ruitai Fund Management Co., Ltd. Hereinafter referred to as “Qianhai Nanfang Ruitaiâ€) is a strategic investor of Maoshuo Electric and signed the “Capital Increase Agreementâ€.
Qianhai Nanfang Ruitai intends to invest RMB 15 million, of which RMB 333.3333 million is the newly added registered capital of Maoshuo Electric, accounting for 25% of the shareholding ratio of Maoshuo Electric, and the remaining RMB 1,166.6667 million is included in the capital of Maoshuo Electric. The registered capital of Maoshuo Electric will also increase from RMB 10 million to RMB 133,333,300.
In order to optimize the ownership structure of Maoshuo Electric, Maoshuo Power purchased Shenzhen Maoshuo New Energy Technology Co., Ltd. (hereinafter referred to as “Maoshu New Energyâ€) and Shenzhen Maoshuo Investment Development Co., Ltd. at a price of RMB4.5/share (hereinafter referred to as “Muoshuo Investment†holds 100% equity of Maoshuo Electric, totaling RMB 20,025,000. The acquisition of the shares of Maoshuo Electric held by Maoshuo Investment constitutes a connected transaction, and the transaction amount of cross-linking is 4.5 million yuan.
After the adjustment of Maoshuo Power's equity, coupled with the introduction of Qianhai Nanfang Ruitai Capital, the final shareholding of Maoshuo Electric was 56.25% for Maoshuo Power, 25% for Qianhai Nanfang Ruitai and 18.75% for Synergy.
